Amendment To Memorandum of Understanding
谅解备忘录修订文件
This Amendment, effective as of 15 December 2011 (“Effective Date”) modifies the Memorandum of Understanding (“MOU”) between Project Management Institute, Inc. (“PMI”) and China National Steering Committee of Professional Education of Masters of Engineering (“SCME”) (each a “Party” and collectively the “Parties”), dated 7 March 2008, based upon the following understanding of the Parties:
本文件是对项目管理协会(Project Management Institute，以下简称PMI) 与全国工程硕士专业学位教育指导委员会(China National Steering Committee of Professional Education of Master of Engineering，以下简称SCME)于2008年3月7日签署的谅解备忘录的修订，生效日 2011年12月15日。经协商双方一致认同如下内容：
- Background
Pursuant to the MOU, the Parties acknowledged the value of international accreditation of project management degrees, as provided by the PMI Global Accreditation Center for Project Management, currently known as the Project Management Institute Global Accreditation Center for Education Programs (“GAC”), and expressed their mutual desire to encourage qualified Chinese universities and colleges to pursue GAC accreditation for their project management masters degree programs.
根据谅解备忘录，双方认同PMI全球项目管理认证中心(GAC)对项目管理学位进行国际认证的价值，全国工程硕士专业学位教育指导委员会将鼓励中国高等院校的项目管理领域工程硕士学位课程，本着自愿的原则，通过PMI全球项目管理认证中心的认证。
In order to make the process of accreditation more accessible to interested Chinese schools of higher education, PMI agreed that it would waive the application fee and accreditation fee for schools that submit their letter of intent seeking GAC accreditation prior to 15 December 2009, and by subsequent amendment, prior to 15 December 2011.
在原谅解备忘录中，PMI决定对2009年12月15日之前提交认证意向书的院校免除申请费和认证费，后根据备忘录修订文件，将其延续至2011年12月15日；以鼓励更多有兴趣的中国院校加入到认证的行列。
The Parties have agreed that the deadline for submission of the foregoing letters of intent and receiving a waiver of application and accreditation fees shall be extended for an additional two (2) years, or until 15 December 2013. The Parties further have agreed that the expiration date of the MOU shall be extended to 15 December 2013.
双方同意将此优惠条件的截止期限再延长2年，即新的截止日期为2013年12月15日；双方同意原谅解备忘录的新截止日期为2013年12月15日。
II. Amendment to Agreement
The MOU accordingly shall be amended as follows:
原谅解备忘录相应修改如下：
A. Amended Article 2: Conditions and Arrangements
第二项：认证条件与安排
(1) Article 2, page 1, fourth paragraph, first sentence, as amended, shall be further modified so that “2011” shall be deleted and shall be replaced with “2013”. The revised sentence shall read as follows:
原备忘录中第二项认证条件与安排的条款中 第一页第四段，第一句中的“2011年”将被替换为“2013年”，修改后内容如下：
“PMI fully recognizes the barrier that accreditation fees may impose
on some of the newly formed degree programs and will waive the application fee and accreditation fee for schools who submit their letter of intent before 15 December 2013.”
PMI充分意识到收取认证申请费对新开办学位课程院校所带来的障碍，决定对2013年12月15日之前提交认证意向书的院校免除申请费和认证费；
- Amended Article 3: Timing
第三项：时间期限
- Article 3, page 2, second paragraph, second sentence, as amended, shall be modified so that the phrase “until 15 December 2011” and shall be replaced with the phrase “until 15 December 2013.” The revised sentence shall read as follows:
原备忘录中时间第三项第二页第二段，第二句中的“直到2011年12月15日”将被替换为“直到2013年12月15日”，修改后内容如下：
“The MOU shall be in effect until 15 December 2013.”
谅解备忘录的有限期终止日为2013年12月15日
In Witness Whereof, the Parties represent that they understand the terms of this Amendment and that they are in agreement with the terms set forth herein.
经协商，双方一致同意针对原谅解备忘录中的四处修该，并留此为证
